1. The Agreement

Welcome to Victory TechNxt Pvt Ltd ("Company", "We", "Us"). By accessing our website or engaging our services (Education Marketing, MSME Growth, Paid Ads, Web Development), you agree to these terms.

These terms govern the relationship between Victory TechNxt and the "Client" (School, Institution, or Business Entity).

2. Service & Payment Model

  • Commission-Free Policy: Unlike traditional agencies, we do not charge a percentage of your ad spend. Our fees are fixed based on the scope of work (Retainer or Project).
  • Direct Ad Billing: You (The Client) must pay ad platforms (Google, Meta, LinkedIn) directly. We will manage the budget, but we do not route ad spend through our accounts.
  • GST Taxes: All our invoices are subject to applicable GST (18%) in India.
  • Late Payments: Invoices are due upon receipt. Services may be paused if payment is delayed by more than 7 days.

3. Performance & ROI

We pride ourselves on being ROI-focused. However, digital marketing is influenced by market volatility, platform algorithms (Google/Meta), and seasonality.

  • System Guarantee: We guarantee the setup, execution, and optimization of the agreed marketing system (Funnels, Ads, CRM flows).
  • Outcome Variability: While we target specific KPIs (CPL, CPA), we cannot legally guarantee specific revenue numbers or admission counts, as these depend on the Client's sales team/counselors closing the leads we generate.

4. Third-Party Platforms

We operate on third-party platforms (Facebook, Instagram, Google, WhatsApp APIs). We are not responsible for:

  • Account bans or restrictions imposed by these platforms due to their policy updates.
  • Downtime or technical glitches on these platforms.
  • Changes in algorithm that may temporarily affect performance.

5. Ownership of Work

Client Ownership: You own the creatives, the website code (upon full payment), and the data generated (leads, customer lists). We do not hold your data hostage.

Agency Rights: We retain the right to use the work (creatives, case studies) in our portfolio to demonstrate our capabilities, unless a specific Non-Disclosure Agreement (NDA) is signed.

6. Cancellation & Termination

Retainers: Monthly retainers require a 30-day written notice for cancellation to allow for a smooth handover of assets.

Projects: One-time projects (Websites, Audits) are non-refundable once the work has commenced.

7. Governing Law

These terms shall be governed by the laws of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
